Franchise Law

Franchising continues to be a growing form of doing business, both nationally and internationally. Franchising success depends upon the individual franchisors and franchisees being able to structure and control their business relationships. The Business Transactions Group is able to advise and assist clients on franchise law matters both in California and nationally. Through our involvement in MULTILAW (please refer to our International Law practice), we are also able to provide assistance and connections with regard to franchising in countries throughout the world.

Our representation of franchisees generally involves reviewing franchise agreements and advising on significant issues, such as trademark and licensing issues and negotiating or litigating disputes with franchisors. Services for prospective and established franchisors would include providing advice on and preparing disclosure statements or Uniform Franchise Offering Circulars (UFOCs) to comply with franchise and antitrust laws, drafting the corresponding franchise agreements and related documents, dispute resolution, trademark protection and licensing.
