Brian Martin is a senior counsel in the Business Transactions and Franchise Law practice groups in the Houston office of Gordon & Rees. Mr. Martin has been practicing corporate and securities law in Texas since 1999. He has assisted clients in nearly all industries, including franchise, medical, healthcare, real estate, oil and gas, chemicals, electronics, lodging, private equity, waste collection/disposal, commercial finance, construction, aviation, paper, and security systems.
Mr. Martin’s comprehensive experience in domestic and cross-border transactions for public and private company clients includes mergers, stock and asset acquisitions and dispositions, debt and equity offerings, joint ventures, formation and dispositions of private equity funds, registration and disposition of broker-dealers, investment advisers and investment companies. Mr. Martin has drafted and negotiated key transactional documents from initial business discussions to closing, including purchase and sale agreements, merger agreements, underwriting agreements, SEC reporting documents, documents filed with NASDAQ, NYSE and AMEX, limited partnership agreements, limited liability company agreements, offering memoranda, prospectuses, subscription documents and ancillary documents.
Mr. Martin is a member of the Houston Bar Association and the State Bar of Texas. From 2002-2007, he served on the Partnership and Limited Liability Company Committee of the Business Law Section of the State Bar of Texas where he assisted in the drafting of legislation adopted by the Texas legislature to govern Texas partnerships and limited liability companies.
