
Mark H. Davis is a partner in the Business Transactions practice group and is the Co-Chair of the Business Transactions practice group. He has been a practicing business attorney for over 28 years and has a diverse business practice with a focus on corporate securities and mergers and acquisitions.
Mr. Davis represents a broad array of emerging growth and closely-held companies in a wide variety of industries. He advises his clients regarding choice of entity, jurisdiction, formation, private debt and equity securities offerings, venture capital financings, stock option plans and executive compensation plans, mergers and acquisitions, general intellectual property counseling, and commercial transactions in general. He counsels non-U.S. entities in doing business in the United States and assists them with establishment of their U.S. business operations. For many of his clients he serves as general outside counsel and coordinates their legal needs within the firm's many specialized practice areas.
In the Mergers & Acquisitions area, Mr. Davis has served as buy-side and as sell-side counsel in all of the standard M&A deal structures. The transactions span many industries including high technology, professional services, investment banking, energy technology, composting and waste processing, building materials, on-line education, and internet applications.
He also has expertise in energy project finance transactions, secured lending, complex development transactions, and representations utilizing Spanish language skills. Mr. Davis frequently teams with members of Gordon & Rees's Green Technology and Climate Change, Real Estate, International, and Intellectual Property Practice Groups on engagements requiring inter-disciplinary approaches.
