
Richard Clampitt is co-chair of Gordon & Rees’s Business Transactions practice group. Mr. Clampitt's business and corporate practice has a focus on corporate governance and the regulatory compliance and disclosure obligations of publicly traded companies. He maintains expertise with respect to the registration requirements and applicable exemptions for the issuance of securities under state and federal law. He also has broad experience in representing businesses and individuals for commercial transactions and strategic financial planning.
Mr. Clampitt has served as general corporate counsel for public companies in San Diego for more than 30 years. Mr. Clampitt also has significant transactions experience, including joint ventures; mergers and acquisitions; real estate leasing, sales and exchanges; product distribution and licensing agreements; and credit agreements and secured transactions. Mr. Clampitt has gained a reputation for his particular skill in managing complex contract negotiations and transaction closings. He has supervised numerous multi-million dollar transactions in business and real estate for buyers, sellers and borrowers. In addition to his primary practice areas, Mr. Clampitt's business, real estate and tax background provides a foundation for services to individual clients for business and personal planning.

Mr. Clampitt presently serves as a Director (Chair of the Budget, Legal and Finance Committee) and Secretary of Educational Enrichment Systems, Inc., a charitable organization providing early childhood development and education services to more than 1,000 pre-school children of families in need at more than 20 sites throughout San Diego County.
