A multi-office team of Gordon & Rees attorneys that included partners Byeongsook Seo, Mark Davis, and Rich Clampitt and associate Leonor Dicdican assisted ValleyCrest Landscape Companies, the nation's largest integrated landscape company, in connection with a pair of coordinated secured lending transactions.
ValleyCrest received a sizable term loan from Credit Suisse, which took out and modified a prior credit facility, and received a revolving line of credit from Wells Fargo Bank, in the aggregate exceeding $200 million. The loans are secured in part by property of ValleyCrest's Colorado affiliates and are supported by continuing corporate guarantees of certain of the client's subsidiaries.
Gordon & Rees was retained as special Colorado counsel for the transactions and provided legal opinions to each group of lenders in addition to assisting with documentation relevant to the Colorado affiliates. Seo (of Gordon & Rees’s Denver office), who has represented certain ValleyCrest affiliates in various litigation matters, introduced ValleyCrest to Davis (San Francisco), who handled the transaction and legal opinions. Dicdican (Sacramento) assisted with the documentation and preparation of the legal opinions and Clampitt (San Diego) also assisted with the opinions.
